Terms of Service

These Terms of Service ("Terms") govern your use of the DonorGraph website and platform (the "Services"), offered by DonorGraph, Inc. ("DonorGraph," "we," "us"). By creating an account or using the Services, you agree to these Terms on behalf of yourself and the organization you represent ("Customer").

1. The Services

DonorGraph provides a prospect research and donor intelligence platform for nonprofit organizations, combining customer-supplied donor records with public records (property, FEC, SEC, IRS Form 990, census) to generate capacity scores, relationship graphs, and AI-drafted donor briefs. The Services are intended solely for authorized fundraising, stewardship, and research activities by qualified nonprofit personnel.

2. Accounts and Authorized Users

Customer is responsible for maintaining the confidentiality of account credentials and for all activity under its account. Customer must promptly notify DonorGraph of any unauthorized access. Each paid plan permits a specified number of named user seats; sharing of individual credentials between users is prohibited.

4. Customer Data

Customer retains all rights in data it uploads to the Services ("Customer Data"). Customer grants DonorGraph a limited license to host, process, and display Customer Data solely to provide the Services. DonorGraph will not sell Customer Data or use it to train third-party AI models. Customer represents that it has the right to upload and use all Customer Data as contemplated by these Terms.

5. Public-Records Data

Information sourced from public records, FEC, SEC, IRS Form 990, property records, and similar datasets is provided on an as-is basis. Public records are updated on a rolling schedule and may contain errors, omissions, or outdated information. Capacity scores and wealth estimates are algorithmic approximations and should not be treated as verified financial information. Customer is responsible for confirming facts before relying on them in outreach, legal proceedings, or published materials.

6. Fees and Billing

Paid plans are billed in advance on a monthly or annual basis. Fees are non-refundable except as required by law. DonorGraph may change pricing on 30 days' notice for new terms; existing paid terms are honored until renewal. Late payments may result in suspension of the Services after reasonable notice.

7. AI-Generated Content

Donor briefs and other AI-generated outputs are produced by large language models and may contain inaccuracies, outdated details, or omissions. Customer is responsible for reviewing AI-generated content before use and for ensuring compliance with its own editorial, legal, and ethical standards.

8. Intellectual Property

DonorGraph owns the Services, including all software, user interfaces, dashboards, documentation, and trademarks, except for Customer Data. These Terms do not grant Customer any rights in DonorGraph's intellectual property other than the limited right to use the Services during the subscription term.

9. Confidentiality

Each party agrees to protect the other's non-public business and technical information with the same degree of care it uses for its own confidential information, and in no event less than reasonable care.

10. Termination

Either party may terminate a subscription at the end of the then-current term. DonorGraph may suspend or terminate the Services immediately for material breach of these Terms, including misuse under Section 3. On termination, Customer's access is revoked and Customer Data is deleted in accordance with the Privacy Policy.

11. Warranties and Disclaimers

DonorGraph will provide the Services with reasonable skill and care. EXCEPT AS EXPRESSLY STATED, THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. DonorGraph does not warrant that the Services will be error-free or uninterrupted, or that public-records data will be accurate or complete.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR REVENUE. DONORGRAPH'S AGGREGATE LIABILITY ARISING OUT OF THESE TERMS WILL NOT EXCEED THE FEES PAID BY CUSTOMER IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

Customer will defend and indemnify DonorGraph against claims arising out of Customer Data or Customer's misuse of the Services in violation of Section 3.

14. Governing Law

These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-laws principles. Any dispute will be brought exclusively in the state or federal courts located in Clark County, Nevada, and each party consents to personal jurisdiction there.

15. Changes to These Terms

DonorGraph may update these Terms from time to time. Material changes will be communicated at least 30 days in advance via email to account administrators. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.
